Agreement Between User and DogTrader LLC

Welcome to dogtrader.com (the “Site”), operated by DogTrader LLC (“DogTrader,” “we,” “us,” or “our”), a Louisiana Limited Liability Company.  This Terms of Service (“Terms”) governs your access to and use of the Site, including all services, listings, and features (collectively, the “Service”). By accessing or using the Site, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, please do not use the Site.

Acceptance of terms:

Your use of the Service constitutes acceptance of these Terms, which may be updated by DogTrader at any time without prior notice, subject to Louisiana law (La. R.S. 12:1318). Continued use after updates signifies your agreement to the revised Terms. Review these Terms periodically at https://dogtrader.com.

Eligibility

You must be at least 18 years old and legally capable of entering a contract under Louisiana law to use the Service. If representing an organization, you warrant authority to bind it. DogTrader reserves the right to deny access at its sole discretion, consistent with La. R.S. 12:1317 (member rights).

Account Responsibilities

• Create an account with accurate, complete, and current information to use certain features (e.g., listings).
• Maintain confidentiality of your username and password; you are liable for all activities under your account.
• Notify DogTrader at support@dogtrader.com (mailto:support@dogtrader.com) of unauthorized use immediately.

••DogTrader is not liable for losses from unauthorized access, and you may be liable for damages to DogTrader or third parties per La. R.S. 12:1320 (member duties).

Use of the Service

• The Service facilitates connections between dog buyers and sellers but does not guarantee transactions, dog health, or seller reliability.
• Prohibited uses include unlawful acts (e.g., fraud under La. R.S. 14:67), misrepresentation, or violations of Louisiana animal welfare laws (e.g., La. R.S. 3:2501 et seq.).
• DogTrader may remove content or terminate accounts at its discretion under La. R.S. 12:1316 (management rights).

Intellectual Property

All Site content (e.g., logos, text) is DogTrader LLC’s property or its licensors’, protected by Louisiana and U.S. copyright/trademark laws. Users receive a limited, non-exclusive, non-transferable license for personal, non-commercial use, with no modification or reproduction without written consent.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LOUISIANA LAW, DOGTRADER LLC, ITS OFFICERS, MANAGERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS, AS ALLOWED UNDER LA. R.S. 9:2800.

Indemnification

You agree to indemnify, defend, and hold harmless DogTrader LLC and its affiliates from claims, damages, or expenses (including attorney fees) arising from your use, breach of these Terms, or violation of Louisiana or federal law.

Termination

DogTrader may suspend or terminate your access for Terms violations or at its discretion, per La. R.S. 12:1330 (dissolution rights). Upon termination, your Service rights end, but prior obligations survive.

Governing Law and Dispute Resolution

These Terms are governed by Louisiana law. Disputes shall be resolved through binding arbitration under the American Arbitration Association rules, with each party bearing its costs, waiving jury trials or class actions, consistent with La. C.C.P. Art. 1266.

Miscellaneous

• If unenforceable, invalid provisions are severed, per La. R.S. 12:1319.
• No waiver is continuing unless in writing.
• DogTrader may assign Terms; you may not.
